Terms of Service

1. Introduction

Welcome to theskill.club ("we," "our," or "us"). We operate a community-first jobtech platform designed to connect skilled talent ("Talent") with fast-growth companies ("Companies") through skill verification, assessments, and job matching services (collectively, the "Services").

By creating an account, accessing, or using theskill.club, you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and theskill.club. If you do not agree to these Terms, you may not use our Services. You explicitly acknowledge that theskill.club is a platform facilitator and is not a recruitment agency, employer, or staffing firm.

2. Definitions

  • Talent: Users who sign up to showcase skills, complete assessments, and seek employment or contract opportunities.
  • Company: Users (entities or recruiters) who sign up to post jobs, create assessments, and hire Talent.
  • Users: Collective term for both Talent and Company users.
  • Content: Any text, data, assessment scores, profiles, job postings, code submissions, video responses, or other materials uploaded to the platform.

3. Eligibility and Account Registration

3.1 Eligibility: You must be at least 16 years of age to use theskill.club. By creating an account, you represent and warrant that you have the legal capacity and authority to enter into a binding contract. If you are registering on behalf of a legal entity (Company), you represent that you are authorised to bind that entity to these Terms.

3.2 Account Security: Accounts are authenticated via email. You are solely responsible for maintaining the confidentiality and security of your login credentials. You agree to notify us immediately of any unauthorised use of your account. We are not liable for any loss, damage, or liability arising from your failure to protect your account or from any unauthorised access.

4. Services for Talent

  • Profiles: You agree to provide accurate, current, and complete information regarding your work history, skills, and identity. You represent that your profile does not contain misleading information or omissions that could misrepresent your qualifications.
  • Assessments: You may take skill assessments hosted by us. You acknowledge that these assessments and any resulting rankings are informational tools provided "as-is" and do not guarantee any specific employment outcome. We reserve the right to modify scoring algorithms or invalidate results at our discretion without liability.
  • Proctoring & Integrity: You agree to complete assessments honestly and without outside assistance unless explicitly permitted. You explicitly consent to our use of proctoring technologies (which may include browser tracking, webcam monitoring, and plagiarism detection) to verify integrity. Cheating, falsifying results, using bots/AI assistance where prohibited, or attempting to reverse-engineer assessments will result in immediate account termination and a permanent ban.

5. Services for Companies

  • Job Postings: You may post job listings ("Opportunities"). You warrant that these Opportunities are genuine, currently available, and comply strictly with all applicable labour, anti-discrimination, and employment laws. You are solely responsible for the content of your postings.
  • Custom Assessments: You may use our tools to send custom assessments to Talent. You agree to use assessment results solely for the purpose of evaluating candidates for employment and not for any discriminatory purpose. You retain full liability for any hiring decisions based on these assessments.
  • Hiring: Theskill.club acts solely as a venue facilitator. We are not a party to any employment agreement between Company and Talent. We do not employ the Talent, nor do we act as a joint employer. You are solely responsible for interviewing, vetting, verifying right-to-work status, and legally hiring candidates. We make no guarantee that any Talent will meet your specific requirements or perform to a certain standard.

6. Acceptable Use Policy

You agree not to:

  1. Use the platform for any illegal purpose or in violation of local labour, data protection, or intellectual property laws.
  2. Scrape, crawl, or data-mine the platform for competitive purposes or to aggregate user data.
  3. Harass, discriminate against, or harm other Users, or transmit viruses, malware, or harmful code.
  4. Circumvent or manipulate our fee structure (if applicable), assessment algorithms, or security measures.
  5. Post false, misleading, defamatory, or fraudulent content.

7. Intellectual Property

7.1 Platform IP: Theskill.club owns all rights, title, and interest in the platform, including its code, design, assessment methodologies, algorithms, ranking logic, and branding. Nothing in these Terms grants you any right to use our IP except as necessary to use the Services.

7.2 User Content: You retain ownership of the data you submit (e.g., your resume or job post). However, you grant us a worldwide, non-exclusive, royalty-free, perpetual, and irrevocable license to use, reproduce, display, and process this content for the purpose of providing the Services (e.g., matching, ranking, and showing a profile to a Company).

7.3 Assessment Data: All assessment questions, scenarios, test cases, and the underlying scoring logic remain the exclusive property of theskill.club. Users are prohibited from copying, recording, sharing, or publishing assessment content. Any breach of this clause constitutes a material violation of these Terms.

8. Disclaimers

The Services are provided on an "AS IS" and "AS AVAILABLE" basis.

  • No Guarantee of Hire: We do not guarantee that Talent will find a job, receive an interview, or that Companies will fill a vacancy.
  • Assessment Accuracy: While we strive for accuracy, assessment scores and rankings are automated indicators of performance based on specific tests and are not absolute guarantees of future job performance or suitability. We expressly disclaim any liability for hiring decisions made based on these scores.
  • Platform Availability: We do not guarantee that the Services will be uninterrupted, error-free, or secure.

9. Limitation of Liability

To the fullest extent permitted by law, theskill.club (including its directors, employees, and agents) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, or business opportunities, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

  1. Your access to or use of or inability to access or use the Services.
  2. Any conduct or content of any third party on the Services, including defamatory, offensive, or illegal conduct.
  3. Any unauthorised access, use, or alteration of your transmissions or content.

In no event shall our aggregate liability for all claims related to the Services exceed the greater of one hundred US Dollars ($100) or the amount paid by you to theskill.club in the last six months.

10. Termination

We reserve the right to suspend or terminate your account at our sole discretion, without notice and without liability, for conduct that we believe violates these Terms, is harmful to other Users, us, or third parties, or involves fraud or assessment manipulation. Upon termination, your right to use the Services will immediately cease.

11. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of Ghana, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration or the competent courts of Ghana. You waive any right to participate in class actions against us.

12. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes via email or a prominent notice on the platform. Your continued use of the Services after such changes constitutes acceptance of the new Terms.
